Merchant Terms & Conditions

1. Introduction & Acceptance

1.1 Parties

These Merchant Terms & Conditions ("Agreement") constitute a binding legal contract between the business entity participating in the loyalty program ("Merchant", "you") and the service provider ("InOut App", "we"):

  • For Merchants in Qatar: [Insert Your QFC Company Name] LLC, registered in the Qatar Financial Centre.
  • For Merchants Rest of World: INOUT APP PTY LTD, registered in Australia.

1.2 Acceptance

By accepting an InOut Partner Card, creating a Business Profile, or allowing users to redeem rewards at your location, you agree to be bound by this Agreement. If you do not agree, you must immediately cease using the Service and return any Partner Cards.

2. The Service & Partnership Model

2.1 Platform Role

InOut App is a technology and marketing platform that connects users with merchants. We provide the technical infrastructure (App, Partner Card, Analytics) to drive traffic to your location. We do not sell goods or services on your behalf.

2.2 No Monthly Fees

As per our current partnership model, InOut App does not charge a monthly subscription fee. The partnership is "Performance Based," meaning your contribution is solely the provision of the agreed Rewards/Vouchers to qualifying Users.

3. Merchant Obligations

3.1 Obligation to Honor Rewards

The Merchant agrees to:

  • Accept Valid Vouchers: Honor all valid redemption requests presented by Users via the InOut App in accordance with the agreed terms (e.g., "Free Appetizer with Main Course").
  • Availability: Ensure the agreed reward items are available. If an item is out of stock, the Merchant must provide a substitute of equal or greater value.
  • Staff Training: Ensure all staff members are trained to recognize the InOut App "Success Screen" and apply the appropriate discount/reward.

3.2 Prohibited Conduct

The Merchant shall not:

  • Refuse a valid reward redemption without reasonable cause (e.g., suspected fraud).
  • Impose hidden conditions on rewards (e.g., "Valid only on Tuesdays") unless explicitly stated in the App Offer description.
  • Discriminate against InOut App users or treat them differently from regular paying customers.

4. Fraud Prevention & Security

4.1 Verification Process

To prevent user fraud, the Merchant must verify that:

  • The User has physically scanned the Partner Card in the presence of staff.
  • The User's phone displays the Live Animation "Success Screen" (to prevent screenshot fraud).
  • The timestamp on the screen is current (within the last 2 minutes).

4.2 Merchant Integrity

The Merchant agrees not to manipulate the system, including:

  • Creating fake User accounts to redeem their own vouchers.
  • Instructing staff to scan the Partner Card to artificially inflate traffic stats ("Wash trading").

5. Liability & Indemnification

5.1 Service Quality (Food & Safety)

The Merchant is solely responsible for the quality, safety, and legality of the goods and services provided to Users. InOut App is not a party to the transaction between the User and the Merchant.

5.2 Indemnity

The Merchant agrees to indemnify, defend, and hold harmless InOut App from any claims, liabilities, damages, or expenses (including legal fees) arising from:

  • Any injury, illness (e.g., food poisoning), or damage suffered by a User at the Merchant's premises.
  • The Merchant's refusal to honor a valid voucher.
  • The Merchant's violation of health, safety, or licensing regulations.

5.3 Limitation of Liability

To the fullest extent permitted by law, InOut App shall not be liable for any indirect, incidental, or consequential damages (including loss of business or reputation) arising from the use of the Platform.

6. Data Protection (GDPR & QFC Compliance)

6.1 Data Usage

The Merchant acknowledges that InOut App is the Data Controller of User data. The Merchant does not receive ownership of User data (e.g., emails, phone numbers) merely through a redemption transaction.

6.2 Confidentiality

If the Merchant inadvertently gains access to any User personal data, the Merchant agrees to keep such data strictly confidential and process it only for the immediate purpose of fulfilling the transaction, in compliance with QFC Data Protection Regulations 2021 and applicable privacy laws.

7. Intellectual Property

Merchant Content: You grant InOut App a license to use your business name, logo, menu images, and location details within the App and for marketing purposes (e.g., "New Partners" social media posts).

InOut Property: The InOut App technology, source code, and "Partner Card" hardware remain the exclusive property of InOut App.

8. Termination

8.1 Termination by Notice

Either party may terminate this partnership for convenience with 7 days' written notice (email suffices).

8.2 Immediate Termination

InOut App reserves the right to suspend or remove the Merchant immediately if:

  • The Merchant repeatedly fails to honor rewards.
  • The Merchant engages in fraudulent activity.
  • The Merchant's business closes or enters liquidation.

Upon termination, the Merchant must immediately return the Partner Card and stop using InOut branding.

9. Governing Law & Dispute Resolution

9.1 For Merchants in Qatar

This Agreement is governed by the laws of the Qatar Financial Centre (QFC). Any dispute shall be subject to the exclusive jurisdiction of the QFC Civil and Commercial Court.

9.2 For Merchants Rest of World

This Agreement is governed by the laws of New South Wales, Australia. Disputes shall be resolved in the courts of New South Wales.
