1. Acceptance of Terms

1.1 Service Provider & Contracting Entity

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and the entity responsible for providing the Services in your region:

  • For Users in Qatar: The Services are provided by [Insert Your QFC Company Name] LLC, a limited liability company registered in the Qatar Financial Centre, Doha, Qatar.
  • For Users in the Rest of the World: The Services are provided by INOUT APP PTY LTD, registered in Australia.

Both entities are collectively referred to as "InOut App", "we", "us", or "our".

1.2 By accessing or using the Services (mobile application, website, and associated platforms), you agree to be bound by these Terms. If you do not agree, you must immediately cease using the Services.

1.3 You must be at least 18 years old to use our Services. By using the platform, you represent that you meet this age requirement.

2. User Accounts

2.1 Account Creation

  • Users must provide accurate, current, and complete information during registration.
  • Each user is responsible for maintaining the confidentiality of their account credentials.
  • Users may only have one active account per platform.
  • Users are responsible for maintaining the security of their devices. We are not liable for unauthorized activity resulting from compromised devices.

2.2 Account Termination

  • We reserve the right to suspend or terminate any account at our sole discretion, without prior notice, for suspected fraud, abuse, or violations of these Terms.
  • Users may request account deletion through app settings or by contacting customer support.

3. User-Generated Content

3.1 Content Guidelines

Users are solely responsible for any content they post. Prohibited content includes:

  • Offensive, obscene, hateful, or defamatory material.
  • Content that infringes on intellectual property rights.
  • Spam, unauthorized commercial content, or misleading information.
  • Sexually explicit content, nudity, graphic violence, or harmful imagery.

3.2 Content Licensing

By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and distribute that content in connection with the Services. You retain ownership of your original content.

3.3 Content Moderation

We reserve the right to review, remove, edit, or block any user-generated content at any time. We assume no liability for content posted by users.

4. Loyalty Program & Anti-Fraud Policy

4.1 Nature of Points

  • Points, XP, and Rewards are promotional tools and have no cash value.
  • Points cannot be exchanged for cash, transferred to other users, or withdrawn to a bank account.
  • We reserve the right to modify point values, reward availability, or expiration rules at any time without notice.

4.2 Prohibited Activities (Fraud Prevention)

To maintain the integrity of our platform, users strictly may not:

  • Fake Check-ins: Check in at a location without physically visiting it (e.g., using old photos or photos taken from outside).
  • GPS Manipulation: Use VPNs, GPS spoofing apps, or emulators to falsify location data.
  • Sequential Receipts: Submit receipts with sequential transaction numbers, which indicates insider fraud.
  • Employee Fraud: Claim rewards or points at a business where the user is employed.
  • Automation: Use scripts, bots, or spiders to access the Services or accumulate points.

4.3 Penalties

Violation of these rules will result in the immediate forfeiture of all points and permanent account suspension. We reserve the right to report fraudulent activity to relevant legal authorities.

4.4 Regulatory Disclaimer

InOut App is a technology and marketing platform, not a financial institution. We do not hold customer funds, process payments, or provide banking services. All transactions for goods and services are strictly between the User and the Merchant.

5. Business User Terms

Businesses utilizing the platform must:

  • Provide accurate descriptions for all offers and rewards.
  • Honor all listed deals and vouchers redeemed by users.
  • Assume full liability for the quality, safety, and legality of the goods or services provided.

6. Data Collection and Privacy

We collect and process personal information in accordance with our Privacy Policy and applicable laws (including QFC Data Protection Regulations). By using location-based features, you explicitly consent to the collection of your geolocation data for verification purposes.

7. Intellectual Property

All rights, title, and interest in the Services (including software, design, logos, and code) are owned by InOut App. You are granted a limited, non-transferable license to use the App for personal use only. You may not reverse engineer, decompile, or copy the Services.

8. Liability and Disclaimers

8.1 Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

8.2 Limitation of Liability

To the fullest extent permitted by law, InOut App shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of the Services.

8.3 Indemnification

You agree to indemnify and hold InOut App harmless from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Services.

9. Governing Law & Dispute Resolution

The laws governing these Terms depend on your domicile:

9.1 For Users in Qatar

These Terms shall be governed by the laws of the Qatar Financial Centre (QFC) and the State of Qatar. Any dispute shall be subject to the exclusive jurisdiction of the QFC Civil and Commercial Court in Doha, Qatar.

9.2 For Users in the Rest of the World

These Terms shall be governed by the laws of New South Wales, Australia. Any dispute shall be resolved through binding arbitration or courts located in New South Wales.

10. Modifications

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Services constitutes acceptance of the revised Terms.

11. App Store Compliance

You acknowledge that these Terms are between you and InOut App only, not with Apple or Google. You agree to comply with all applicable App Store usage rules.

13. General Provisions

13.1 Severability

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, internet outages, or government restrictions.

13.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and InOut App regarding the Services.
